ADVISORY BUSINESS 4.A – Description of the Advisory Firm JET Wealth Advisors, Inc. (“JETWA”) is an investment advisory firm founded in 2013 and became an SEC registered investment advisory firm in 2026. The advisory firm provides investment management services and financial planning services to individuals, families, and businesses through customized portfolios and separately managed accounts for a fee. The Adviser is a fee-based investment management and financial planning firm. John P. Toman is the owner of JET Wealth Advisors. We provide investment advisory services to individuals, high-net-worth individuals, families, trusts, and business entities. As of May 21, 2026, as a newly registered investment advisory firm, JET Wealth Advisors current regulatory assets under management (“AUM”) stand at ~$546M reflecting our recent launch and ongoing client acquisition process. These amounts may change over time and will be updated at least annually. 4.B – Types of Advisory Services JET Wealth Advisors offers the following advisory services: 1. Portfolio Management Services JET Wealth Advisors is committed to understanding the unique nature and goals of each client. For all our investment advice and portfolio management, we tailor our products based on specific client needs obtained from documented discussions, a financial plan and/or risk assessment. We recommend asset allocations and specific investments based on a client’s objectives, risk tolerance, time horizon, liquidity needs, and other relevant factors, as well as reasonable guidelines and restrictions a client may want to impose. On a regular basis, JET Wealth Advisors provides advice to clients on matters not involving securities, such as financial planning, taxation issues, retirement, estate planning, and philanthropy. JET Wealth Advisors manages client assets on a discretionary basis. Portfolios may include, but are not limited to: Individual equities • Exchange-traded funds (ETFs) • Separately managed accounts • Mutual funds • © 2026 JET Wealth Advisors, Inc | All rights reserved 5 • Fixed-income securities • Cash and cash equivalents 2. Financial Planning and Consulting We provide financial planning and consulting services, which may include: Insurance and risk management review • Retirement planning • Cash flow and budgeting analysis • Education funding planning • Tax-aware investment planning (in coordination with a client’s tax professional) • • Estate planning coordination (in coordination with a client’s attorney) • Charitable and philanthropic planning strategies • Coordination of professional investment advice, among other related services Financial planning may be included as part of an ongoing portfolio management relationship or provided as a standalone service, depending on the terms of the client agreement. 3. Estate and Legacy Planning Support We assist clients in evaluating estate and legacy considerations and work with their attorneys and other professionals to help align investment strategies with estate planning objectives. We do not draft legal documents or provide legal advice. 4. Charitable and Philanthropic Planning We assist clients in designing and implementing charitable giving strategies, including the use of donor-advised funds, charitable trusts, qualified charitable distributions, and gifts of appreciated securities. Currently, we do not provide legal or tax advice and encourage clients to consult their attorney or tax advisor regarding charitable strategies. JET Wealth Advisors does not sponsor or act as investment adviser to any pooled investment vehicles (such as hedge funds or private funds). Currently, we do not provide tax or legal advice. Clients should rely on their own tax and legal professionals for those services. © 2026 JET Wealth Advisors, Inc | All rights reserved 6 4.C – Tailored Services and Client-Imposed Restrictions JET Wealth Advisors tailors its advisory services to the individual needs of clients. We gather information about each client’s financial situation, investment objectives, risk tolerance, time horizon, and other relevant factors, typically through written documentation and discussions. Clients may impose reasonable restrictions on investing in certain securities or types of securities (for example, limiting exposure to certain industries or issuers) by providing such restrictions to us in writing. We may not be able to accommodate restrictions that are so broad or complex that they make effective management impractical. 4.D – Wrap Fee Programs JET Wealth Advisors does not participate and is not a sponsor of any wrap fee programs. All accounts are managed under traditional, non-wrap arrangements in which advisory fees and transaction costs are typically charged separately. Wrap Fee Programs are arrangements between broker-dealers, investment advisors, banks and other financial institutions, and affiliated and unaffirmed investment advisors through which the clients of such firms receive discretionary investment advisory, execution, clearing, and custodial services in a “bundled” form. In exchange for these “bundled” services, the clients pay an all-inclusive (or “wrap”) fee determined as a percentage of the assets held in the wrap account. 4.E – Assets Under Management As of June 4, 2026, as a newly registered investment advisory firm, JET Wealth Advisors current regulatory assets under management (“AUM”) stand at ~$546M reflecting our recent launch and ongoing client acquisition process. These amounts may change over time and will be updated at least annually. © 2026 JET Wealth Advisors, Inc | All rights reserved 7 ITEM 5 – FEES AND COMPENSATION 5.A – Advisory Fees JET Wealth Advisors charges an annual asset-based fee for portfolio management services, calculated as a percentage of assets under management (“AUM”). Our standard fee schedule is: Household Assets Managed Annual Advisory Fee Up to $5,000,000 2.00% - 1.00% Above $5,000,000 Negotiable Fees are calculated based on the total assets we advise for a client household as defined in the client agreement. Negotiable fees vary among clients based on factors such as the complexity of the client’s financial situation, total assets under management, anticipated additional assets, and related accounts. Family members and related people of our supervised staff may receive discounted or waived fees. Clients should be aware that similar advisory services may be available from other investment advisers for higher or lower fees. 5.B – Payment of Fees Unless otherwise agreed, our advisory fees are billed monthly in advance based on the value of the client’s account(s) as of the last day of the preceding month. Clients typically authorize the custodian (e.g., Fidelity) to deduct our advisory fees directly from their accounts pursuant to a written authorization. Alternatively, clients may elect to be invoiced and pay fees directly. © 2026 JET Wealth Advisors, Inc | All rights reserved 8 5.C – Other Fees and Expenses In addition to our advisory fee, clients may incur other fees and expenses, including: • Internal expenses of mutual funds and ETFs (e.g., management fees and operating expenses) • Transaction fees or ticket charges (if applicable under the custodian’s fee schedule) • Custodial account fees, including retirement account maintenance fees • Wire transfer or other bank service fees These fees and expenses are charged by the custodian, mutual fund, ETF, or other service providers and are separate and distinct from our advisory fees. Clients should review the fee schedules and prospectuses provided by these third parties for more information. Please refer to Item 12 – Brokerage Practices for additional information. 5.D – Prepayment of Fees and Refunds As noted above, our advisory fees are generally billed monthly in advance. When a client has paid fees in advance and the advisory relationship terminates before the end of the billing period, the client will be entitled to a pro rata refund of any unearned fees. Refunds are calculated based on the number of days remaining in the period relative to the total number of days in the billing period. 5.E – Compensation for the Sale of Securities or Other Investment Products Neither JET Wealth Advisors nor our supervised people accept commissions or other compensation for the sale of securities or investment products. We do not receive: • Asset-based sales charges or service fees from the sale of mutual funds • Revenue-sharing payments from product sponsors • Any other transaction-based compensation Accordingly, Items 5.E.1 through 5.E.4 are not applicable. © 2026 JET Wealth Advisors, Inc | All rights reserved 9 ITEM 6 - PERFORMANCE-BASED FEES AND SIDE-BY-SIDE MANAGEMENT JET Wealth Advisors does not charge performance-based fees (i.e., fees based on a share of capital gains or capital appreciation of the assets of a client). We do not manage any accounts that pay performance-based fees and therefore do not face the conflicts of interest associated with managing both performance-fee and non- performance-fee accounts. ITEM 7 – TYPES OF CLIENTS JET Wealth Advisors provides advisory services primarily to: Individuals and families • • High-net-worth individuals • Trusts and estates • Small businesses and other entities Our typical minimum advisory relationship size is $1,000,000 in assets under management. We may, in our sole discretion, waive or lower this minimum, or aggregate related household accounts to meet the minimum. ITEM 8 – METHODS OF ANALYSIS, INVESTMENT STRATEGIES, AND RISK OF LOSS 8.A – Methods of Analysis and Investment Strategies We employ a variety of methods of analysis, which may include: • Fundamental analysis – evaluating financial condition, earnings, growth prospects, and other factors • Macroeconomic analysis – considering interest rates, inflation, economic growth, and market conditions • Quantitative and allocation tools – using models to inform asset allocation and risk management © 2026 JET Wealth Advisors, Inc | All rights reserved 10 • Manager and fund due diligence – for mutual funds, ETFs, and other pooled products Our recommended investment strategies typically include diversified asset allocations using combinations of: • Equities (U.S. and international) • Fixed-income securities • Cash and cash equivalents • Mutual funds and ETFs investing in the above Investing in securities involves risk of loss that clients should be prepared to bear. There is no guarantee that any investment strategy will achieve its objectives. 8.B – Material Risks of Investment Strategies All investment strategies involve risk. The material risks include: • Market Risk: The value of investments may decline due to broad market movements or adverse economic conditions. • Equity Risk: Stock values may fluctuate in response to issuer-specific events or • general market conditions. Interest Rate Risk: The value of fixed-income securities generally falls when interest rates rise and may increase when interest rates fall. • Credit Risk: Issuers of bonds or other debt instruments may fail to make timely • payments of interest or principal. Inflation Risk: The purchasing power of investment returns may be eroded by inflation. • Foreign Investment Risk: Investments in foreign securities involve currency risk, political risk, and differing regulatory and accounting standards. • Liquidity Risk: Some securities or markets may have limited liquidity, making it difficult to sell investments at desired times or prices. • Concentration Risk: Portfolios concentrated in certain sectors, asset classes, or issuers may be more volatile. • ETF and Mutual Fund Risk: ETFs and mutual funds are subject to the risks of their underlying holdings and may trade at premiums or discounts to net asset value. They also carry internal management fees and operating expenses. More frequent trading may increase transaction costs and may create taxable events, which can reduce net returns. © 2026 JET Wealth Advisors, Inc | All rights reserved 11 8.C – Risks of Specific Types of Securities Depending on the client’s portfolio, we may recommend: • ETFs and Mutual Funds: Subject to market, sector, and manager risk, as well as internal expenses. • Fixed-Income Securities: Subject to interest rate risk, credit risk, and reinvestment risk. • Foreign Securities: Subject to foreign currency risk, political instability, limited liquidity, and differing legal and regulatory frameworks. Clients should carefully consider these risks and discuss any questions with us before investing. ITEM 9 – DISCIPLINARY INFORMATION Neither JET Wealth Advisors or any of its management have any legal or disciplinary events to disclose that would be material to a client’s or prospective client’s evaluation of our business or the integrity of our management. If this information changes, we will update this brochure promptly and provide appropriate disclosure to clients as required. ITEM 10 – OTHER FINANCIAL INDUSTRY ACTIVITIES AND AFFILIATIONS 10.A – Broker-Dealer Registration Neither JET Wealth Advisors or our management is registered or has an application pending to register as a broker-dealer or registered representative of a broker-dealer. 10.B – Futures/Commodities Registration Neither JET Wealth Advisors or our management is registered, or has an application pending to register, as a futures commission merchant, commodity pool operator, commodity trading advisor, or associated person of any such entity. © 2026 JET Wealth Advisors, Inc | All rights reserved 12 10.C – Other Material Relationships or Arrangements We do not have any relationships or arrangements with related people in the following categories that are material to our advisory business or to our clients: Investment companies or other pooled investment vehicles • Broker-dealers • • Other investment advisers or financial planners • Banking or thrift institutions • Accounting firms • Law firms • Pension consultants • Real estate brokers or dealers • Sponsors or syndicators of limited partnerships If such relationships arise in the future, we will disclose any material conflicts of interest and how we address them. Certain investment adviser representatives of the firm are also licensed insurance agents. In those capacities, they may receive commissions or other compensation in connection with the sale of insurance products. This arrangement could create a conflict of interest due to the receipt of additional commission-based compensation in connection with the purchase and sale of insurance and securities, including 12b-1 fees for the sale of certain investment company products. You are not required to purchase insurance or securities from our financial professionals. 10.D – Selection of Other Investment Advisers We do not currently recommend or select other investment advisers for our clients and do not receive compensation from third-party advisers. Accordingly, this Item is not applicable. © 2026 JET Wealth Advisors, Inc | All rights reserved 13 ITEM 11 – CODE OF ETHICS, PARTICIPATION OR INTEREST IN CLIENT TRANSACTIONS, AND PERSONAL TRADING 11.A – Code of Ethics JET Wealth Advisors has adopted a Code of Ethics pursuant to SEC Rule 204A-1. Our Code of Ethics sets forth standards of conduct expected of our supervised people, including the obligation to: • Place clients’ interests ahead of their own • Conduct personal securities transactions in a manner that avoids conflicts with client transactions • Comply with applicable securities laws and regulations • Maintain the confidentiality of client information Our Code of Ethics includes policies on personal trading, insider trading, gifts and entertainment, and the handling of material nonpublic information. We will provide a copy of our Code of Ethics to any client or prospective client upon request. 11.B – Material Financial Interests in Recommended Securities Neither JET Wealth Advisors or any related person has any material financial interest in securities that we recommend to clients beyond typical and conventional personal investments. If any such situation arises, we will fully disclose the conflict of interest and how we address it. 11.C – Personal Trading in the Same Securities as Clients Our supervised people may buy or sell for their own accounts securities that we also recommend to clients. This may create potential conflicts of interest. To address these conflicts, we have adopted policies and procedures, including: • Pre-clearance or reporting of certain personal trades • Periodic review of personal trading activity © 2026 JET Wealth Advisors, Inc | All rights reserved 14 • Restrictions on trading in certain securities We seek to ensure that client transactions are given priority over personal transactions where conflicts may exist. 11.D – Timing of Personal Trading Our supervised people may buy or sell securities for their own accounts at or about the same time as client trades in the same securities. This may create potential conflicts, which we address through our Code of Ethics and supervisory reviews to reasonably ensure that clients are not disadvantaged. ITEM 12 – BROKERAGE PRACTICES 12.A.1 – Selection of Broker-Dealers JET Wealth Advisors is not affiliated with any broker-dealer. We generally recommend that clients use Fidelity (or an affiliate of Fidelity) as their custodian and broker in order to facilitate efficient management and consolidated reporting. In selecting or recommending broker-dealers, we consider: • Overall quality of execution • Financial stability and reputation • Range and quality of available investment products and services • Trading capabilities and platform technology • Custodial services and reporting • Client service and operational support • Reasonableness of commissions and transaction costs Although we seek “best execution” (i.e., the most favorable overall terms reasonably available under the circumstances), we cannot guarantee that any particular transaction will be executed at the best available price or the lowest possible commission. Soft Dollar Benefits JET Wealth Advisors does not receive research or other “soft dollar” benefits from Fidelity or any other broker-dealer in connection with client securities transactions. We do not cause clients to pay higher commissions in order to receive research or services. © 2026 JET Wealth Advisors, Inc | All rights reserved 15 12.A.2 – Brokerage for Client Referrals We do not select or recommend broker-dealers based on our interest in receiving client referrals, nor do we have any formal or informal arrangements under which brokers provide us with client referrals in exchange for brokerage business. 12.A.3 – Directed Brokerage Because we provide advice on a discretionary basis and generally recommend that clients have custody assets at Fidelity, most clients will use Fidelity as their broker-dealer. If a client requests that we use a broker-dealer other than Fidelity (i.e., directs brokerage), we will consider whether we can reasonably accommodate that request. Clients who direct brokerage should understand that: • We may be unable to negotiate commissions or obtain volume discounts. • We may be unable to aggregate orders for execution with other clients’ orders, which could result in higher transaction costs or less favorable execution. • We may not be able to monitor execution quality in the same way as with our recommended custodian. Clients who direct brokerage may pay higher transaction costs and may receive less favorable prices on certain transactions. 12.B – Trade Aggregation JET Wealth Advisors does not aggregate client orders (also called “bunching”) for execution as a single block trade. Because trades are not aggregated: • Execution prices and transaction costs may vary among clients. • Some clients may receive more or less favorable execution on a given day compared to others. We seek to treat all clients fairly over time, but the absence of trade aggregation may result in higher transaction costs or differences in execution among clients. © 2026 JET Wealth Advisors, Inc | All rights reserved 16 ITEM 13 – REVIEW OF ACCOUNTS 13.A – Periodic Reviews Client accounts are reviewed on at least an annual basis. In many cases, reviews occur more frequently, such as quarterly, depending on the client’s needs and circumstances. Reviews are performed by the client’s advisor or a member of our portfolio management team and may include: • Evaluation of asset allocation and risk profile • Assessment of progress toward stated goals • Review of investment performance and holdings • Consideration of changes in client circumstances 13.B – Non-Periodic Reviews (Triggering Events) In addition to periodic reviews, we may review accounts when certain events occur, such as: • Significant deposits to or withdrawals from the account • Major changes in a client’s financial situation, employment, family status, or objectives • Significant market or economic events • Client requests for a review 13.C – Reports to Clients Clients receive account statements directly from the custodian (e.g., Fidelity) at least quarterly. These statements reflect holdings, transactions, and account values. Clients can also view their holdings in an online Client Portal. We may also provide additional performance or holdings reports to clients periodically. Clients are urged to carefully compare any reports they receive from us with the statements they receive directly from the custodian © 2026 JET Wealth Advisors, Inc | All rights reserved 17 ITEM 14 – CLIENT REFERRALS AND OTHER COMPENSATION 14.A – Economic Benefits from Non-Clients It is JET Wealth Advisors’ policy not to accept economic benefits (including cash, sales awards, or other prizes) from any non-client in exchange for providing investment advice or other advisory services to our clients. We do not receive compensation from product providers, such as mutual fund companies, in connection with our advisory activities 14.B – Compensation for Client Referrals JET Wealth Advisors does not currently compensate any person who is not a supervised person of the firm for client referrals. ITEM 15 – CUSTODY JET Wealth Advisors is deemed to have limited custody of client assets solely because we are authorized to debit advisory fees directly from client accounts. Client assets are held by qualified custodians, such as Fidelity, not by JET Wealth Advisors. Clients receive account statements directly from their custodian at least quarterly. If we provide additional reports, clients should carefully compare those reports to the statements they receive from the custodian to ensure accuracy. We do not otherwise take physical custody or possession of client funds or securities. ITEM 16 – INVESTMENT DISCRETION It is our customary procedure to have full discretionary authority to supervise and direct the investments of our clients’ accounts. This authority is for the purpose of making and implementing investment decisions, without the client’s prior consultation. Clients grant discretionary authority to the Adviser by completing the following items: - Execution of JET Wealth Advisor’s investment management agreement and/or by a separate limited power of attorney which designates the authority for us to place trades on your behalf. - Provide JET Wealth Advisor with discretionary authority on the new account forms that are submitted to custodian action for the clients’ account(s). Other than advisory fees due to JET Wealth Advisors, which JET Wealth Advisors will receive directly from the custodian, JET Wealth Advisor’s discretionary authority does not grant us the authority to take or have possession of any assets in the client’s account or to direct delivery of any securities or payment of any funds held in the account to JET Wealth Advisors. Furthermore, JET Wealth Advisor’s discretionary authority by agreement does not allow it to direct the disposition of such securities or funds to anyone except the account owner. Clients may impose reasonable restrictions on investing in certain securities or types of securities in accordance with their values and beliefs, in writing. JET Wealth Advisor will make every effort to comply with the wishes of the client but cannot guarantee absolute adherence due to our use of indexed products, funds, and ETFs that are controlled by third- party managers. Certain portfolio programs require that we be able to invest in mutual funds and ETFs at our discretion and we are unable to allow for any limitation on this discretion. The Adviser will consult with the client where discretion is not obtained prior to each trade in order to obtain client approval for the transaction(s). The client authorizes the discretion to select the custodian to be used, and the commission rates paid to the Adviser. The Adviser does not receive any portion of the transaction fees or commissions paid by the client to the custodian on certain trades. In certain situations, JET Wealth Advisors may provide non-discretionary investment services. ITEM 17 – VOTING CLIENT SECURITIES 17.A – Proxy Voting JET Wealth Advisors does not accept authority to vote proxies on behalf of clients and does not direct custodians (such as Fidelity) to vote proxies on our behalf. © 2026 JET Wealth Advisors, Inc | All rights reserved 19 Clients will receive proxy materials and other solicitations directly from the issuer or from their custodian. Clients are solely responsible for voting their own proxies and making all related decisions. We may, at a client’s request, answer questions or provide general information about a particular proxy proposal as it relates to the client’s overall portfolio or objectives, but the client retains full responsibility for voting decisions. 17.B – Receiving Proxies Because we do not vote proxies, clients should ensure that their custodian and/or issuer has their correct mailing or electronic address for proxy communications. ITEM 18 – FINANCIAL INFORMATION 18.A – Prepayment of Fees JET Wealth Advisors does not require or solicit prepayment of more than $1,200 in fees per client, six months or more in advance. Accordingly, Registrant is not required to include a balance sheet for its most recent fiscal year. 18.B – Financial Condition JET Wealth Advisors is not aware of any financial condition that is reasonably likely to impair our ability to meet contractual commitments to clients. 18.C – Bankruptcy JET Wealth Advisors has not been the subject of a bankruptcy petition at any time during the past ten years. © 2026 JET Wealth Advisors, Inc | All rights reserved 20
